The name of this organization shall be the Badland Quilter’s Guild.
The object (purpose) of this organization shall be to create, stimulate, maintain and record all interest in all matters pertaining to the making, collection and preserving of quilts and to establish and promote educational and philanthropic endeavors through quilts.
The organization shall strive to achieve its purpose by:
a. Establishing educational, professional and ethical standards for the guidance of members and encouraging adherence to these standards.
b. Establishing lines of communication between members for the stimulation of thought, exchange of ideas and enhancement of individual strengths, and for mutual assistance.
c. Maintaining communications with other professions, with administrators and with the public to explore mutual interest in understanding the objectives of these and related programs.
d. Supporting and encouraging the present-day art of quiltmaking so that these quilts may become the heirlooms of tomorrow.
Any person interested in any form of quilting may become a member by payment of annual dues. All members shall have the privilege of voting and holding office, receive a regular newsletter, and pay annual dues in the amount determined by the members, and payable on January 1 of each year. All committee members and officer must be members of Badlands Quilter’s Guild.
The books and account shall be kept in accordance with sound accounting practices. All monies derived from Badlands Quilter’s Guild activities shall be turned over to the Treasurer for deposit to the Badlands Quilter’s Guild accounts. Monies designated for the Retreat shall be kept in a separate account under the control of the Retreat Treasurer. An audit shall be held yearly by a committee of the membership appointed by the president for the purpose of auditing both accounts.
The organization shall meet the third Saturday of the following months: January, March, May, July, September, and November with an additional guild meeting held during the retreat. Meeting dates may be changed by a majority vote of those present at the prior meeting.
The Board of Directors shall consist of the officers of the organization. All directors shall be voting members. The Board shall manage all the business and affairs of the organization.
Powers and Duties of Officers
All officers are voting members.
The nomination committee shall nominate one member as candidate from each office to be filled. These names will be presented at the business meeting in March and will be published in the May Newsletter. Nominations from the floor may be accepted providing the nominee has consented in person or in writing at the March meeting.
The rules of parliamentary procedure comprised in the current edition of Robert’s Rules of Order newly Revised shall govern all proceedings for the Badlands Quilter’s Guild.
The power to alter or amend the bylaws or adopt new bylaws rest in the vote of those present at the meeting following the bylaws presentation and must have been published in the newsletter prior to vote.
